Atomic Dog Publishing Joins Cengage Learning Custom Solutions |

STAMFORD, CT, April 4th, 2006 – Cengage Learning , a part of The Cengage Learning (TSX: TOC; NYSE: TOC), announced today that it intends to acquire most of the assets of Atomic Dog Publishing, a privately held publishing operation that provides low-cost hybrid learning solutions, in print and online formats. Once the acquisition is complete, Atomic Dog Publishing will become part of Cengage Learning Custom Solutions (CLCS), a Cengage Learning business unit which provides print, digital and hybrid solutions to faculty and students across all disciplines. CLCS will maintain and expand the Atomic Dog imprint. |

Retained employees will be relocated to CLCS’ Mason, Ohio headquarters and all of Atomic Dog’s warehousing operations will be transitioned to the Cengage Learning Distribution Center facility in Kentucky.

In turn, Cengage Learning Higher Education will bring new capabilities to Atomic Dog’s operations, including increased global reach, new customization options, improved backend operational efficiencies, and dramatically expanded sales and distribution capabilities, both domestically and internationally.

Further terms of the agreement have not been disclosed.
